Changing Stars Foundation, Inc. is a Florida nonprofit corporation organized exclusively for charitable, educational, scientific, and literary purposes under Section 501(c)(3) of the Internal Revenue Code.
Our story
Born from a belief that every person deserves a fair start.
Changing Stars Foundation was founded on a simple but powerful conviction: that income, disability, or academic setbacks should never determine what a person is capable of becoming.
We exist to remove those barriers — providing free access to education, mental health support, cognitive resources, diagnostic screenings, job training, and the arts for people who have been overlooked by traditional systems.
The Foundation serves as the academic and charitable offshoot of StarChanger Studios LLC, while maintaining fully independent nonprofit governance and operations. Every program we run is free to participants. Every dollar we raise goes directly to that mission.

Advancing learning, research, mentorship, fellowships, and academic initiatives for people of all ages and backgrounds.
Creativity & Innovation
Promoting media literacy, technology education, civic participation, and lifelong learning through arts and creative expression.
Research & Public Benefit
Conducting and supporting research, publications, educational media projects, and public-interest studies that serve the community.
Community Wellness
Supporting mental health, cognitive resources, and diagnostic access for individuals who face barriers to traditional care.

The Foundation is led by a volunteer Board of Directors who serve without compensation and are bound by a rigorous Conflict of Interest Policy.
Caryol-Lynn Rullo
President & Director
Founding director and President of Changing Stars Foundation. Leads organizational strategy, oversees implementation of Board policies, and drives the Foundation's mission forward.
Lucinda Holohan
Secretary & Director
Maintains corporate records, meeting minutes, and governance documentation. Ensures the Foundation operates with full transparency and legal compliance.
Joseph Holohan
Treasurer & Director
Oversees financial affairs, accounting records, budgets, and required financial and tax filings to ensure responsible stewardship of donor funds.
Clara Martinez Bunting
Director
Brings expertise and perspective to Board deliberations, contributing to the Foundation's governance, program direction, and community impact.

Conflict of Interest Policy
All directors and officers annually disclose actual, potential, or perceived conflicts and recuse themselves from related decisions.
No Private Inurement
No part of the Foundation's net earnings inures to the benefit of any private individual. All resources serve the mission.
Independent Governance
The Foundation maintains fully independent governance from StarChanger Studios LLC and all affiliated entities.
Annual Board Meetings
The Board meets no fewer than four times per calendar year, with minutes recorded and maintained as permanent corporate records.
